These Terms of Service ("Terms") govern your use of LIVAPON Immerse, available at immerse.livapon.com (the "Service"). By creating an account, making a purchase, or using the Service, you agree to these Terms. Please read them together with our Cancellation and Refund Policy and our Privacy Policy, which form part of your agreement with us.
1. What We Offer
The Service provides three types of products:
- Courses. Online learning programs about Japanese culture (for example, budo or calligraphy). A course typically consists of about six live online sessions, each with a scheduled date and time, plus recorded archives of those sessions hosted as unlisted YouTube videos. Courses are paid in full in advance and include automatic completion assessment (see Section 9).
- Experiences. One-time, in-person cultural activities (for example, a tea ceremony) held in Japan at a specific date, time, and location, with limited capacity and per-participant pricing (adult and child categories).
- Premium Experiences. In-person experiences in Japan that are available only to customers who have completed a designated course. Except for this eligibility requirement, Premium Experiences work the same way as Experiences. In these Terms, references to "Experiences" include Premium Experiences unless we say otherwise.
2. Your Account
- You sign in to the Service using your Shopify customer account. Your agreement with Shopify governs that account itself; these Terms govern your use of our Service.
- You must provide accurate, current, and complete information when registering and purchasing, and keep it up to date. We rely on this information to deliver sessions, confirm bookings, and contact you.
- Your account is personal to you. You must not share your login credentials or allow anyone else to access the Service through your account. You are responsible for activity that occurs under your account.
- If you are under 18, you may only make purchases with the consent of a parent or legal guardian. By completing a purchase, you confirm that you have obtained this consent where required.
3. Bookings, Purchases, and When a Contract Is Formed
- All payments are processed through Shopify Checkout. Completing checkout constitutes your offer to purchase.
- A contract for a course or experience is formed when we issue a confirmation of your enrollment or booking after payment is completed.
- Capacity conflicts. Experience slots have limited capacity. In rare cases, a slot may fill up between the time you start checkout and the time your payment completes. If this happens, no booking is formed, and we will refund the full amount you paid within 7 business days in Japan (excluding Saturdays, Sundays, and Japanese public holidays), with no cancellation fee.
- Ineligible purchases. If a booking cannot be formed for another reason — including purchase of a Premium Experience by a customer who has not completed the required course — we will verify the situation and refund the full amount you paid.
- Duplicate purchases of the same course by the same account are consolidated into a single enrollment. If you purchase the same course twice, contact us and we will refund the duplicate purchase in full.
4. Prices and Payment
- Prices are displayed on each product page. All prices are in Japanese yen (JPY).
- Payment is due at the time of purchase, by credit card or other methods offered through Shopify Checkout.
- If you pay with a card denominated in another currency, your card issuer's exchange rate and any foreign transaction fees apply and are your responsibility. Refunds are issued in JPY; the amount you receive in your local currency may differ from the amount you originally paid due to exchange rate movements.
- Child pricing for experiences (ages 6–12) is available as indicated on the product page. Child participants must be accompanied by a participating adult (see Section 10).
5. Cancellations and Refunds
- Cancellations and refunds for courses and experiences are governed by our Cancellation and Refund Policy, which is part of these Terms. It sets out the cancellation fee schedule for experiences, the refund rules for courses, how refunds are processed, and what happens when we cancel an event. Please review it before you purchase.
- Important notice for consumers in the EU, EEA, and UK — experiences. Experiences and Premium Experiences are leisure activities provided on a specific date or within a specific period. Under Article 16(l) of the EU Consumer Rights Directive and regulation 28(1)(h) of the UK Consumer Contracts Regulations 2013, the statutory 14-day right of withdrawal does not apply to these bookings. Our Cancellation and Refund Policy applies instead.
- Courses, generally. You can cancel for a full refund at any time before your course has started for you (that is, before any live session of your course has been held and before you have accessed any course archives). Once your course has started, the course fee is non-refundable, except as described below for EU, EEA, and UK consumers, or where a refund is otherwise required by law. See Sections 2.1–2.2 of the Cancellation and Refund Policy.
- Important notice for consumers in the EU, EEA, and UK — courses. The 14-day right of withdrawal can apply to online courses. Our course refund policy is designed to respect it: within 14 days of the date of purchase (counted as described in Section 2.7 of the Cancellation and Refund Policy), you can obtain a full refund before your course has started, or a refund reduced in proportion to the sessions already delivered if it has. At checkout, you will be asked to expressly request that we begin providing the course and its content immediately, and to acknowledge that once the service has been fully performed you lose the right of withdrawal. Details are in the Cancellation and Refund Policy. You can withdraw by any clear statement to us (contact details in Section 18), or by using the model withdrawal form included in the Cancellation and Refund Policy.
- Nothing in these Terms limits any non-waivable statutory refund rights you have under the mandatory laws of your country of residence.
6. Courses: Sessions, Archives, and Absences
- Live session dates and times for each course are communicated to you on the course page or by email before the course begins. All times are in Japan Standard Time (JST) unless otherwise stated.
- Each live session is recorded, and the recording is made available to enrolled students as an unlisted YouTube archive for as long as your enrollment remains active (see Section 8 on loss of access after a refund).
- If you miss a live session, you can catch up by watching the archive. Missing a live session does not entitle you to a partial refund, because the session content remains available to you.
- Archives are hosted on YouTube. When you watch an archive, you leave our Service and YouTube's own terms and privacy policy apply.
7. Content License
- When you enroll in a course, we grant you a personal, non-exclusive, non-transferable license to view the course archives and materials for your own learning. This license is for you alone.
- You must not:
- share, publish, or forward archive URLs to anyone else;
- record, screen-capture, download, or copy archives or materials;
- redistribute, resell, publicly display, or repost any course content, in whole or in part; or
- allow another person to access course content through your account.
- If you violate this Section, we may suspend or terminate your access to the content and the Service without refund, and we may claim compensation for damage caused by the violation. Your license ends when your enrollment ends, including when an enrollment is refunded.
8. Refunds and Loss of Access
If a course purchase is refunded, in whole or in part, under the Cancellation and Refund Policy, your enrollment and your access to the course archives end as part of the refund.
9. Course Completion and Premium Experience Eligibility
- Course completion is determined automatically, based on our records, when the final live session of your course ends while your enrollment is active. Attendance at individual sessions is not required for completion.
- Completion of the course designated on the Premium Experience product page is what qualifies you to purchase that Premium Experience. Eligibility is checked against our records at the time of purchase.
- If the final session of a course is canceled or rescheduled, completion is assessed against the rescheduled final session. If the final session is canceled and not rescheduled, completion is assessed when the last session actually held ends. Canceling your enrollment before completion means you do not obtain completion status.
- If you believe our records are wrong, contact us and we will review them. Our verified records are the basis for eligibility decisions.
10. Participation Requirements and Safety (Experiences and Premium Experiences)
- Follow instructions. During an experience, you must follow the reasonable instructions of the host, instructor, and our staff at all times. These instructions exist for your safety and the safety of others.
- Health self-assessment. Some experiences, particularly martial arts, involve physical activity and carry inherent physical demands and risks, such as those normally associated with exercise and physical contact. You are responsible for assessing your own health and fitness before booking, and for informing the host of any condition that could affect your safe participation (for example, injuries, allergies, or pregnancy). This is a notice and a request for honest self-assessment — it is not a waiver of our legal responsibilities (see Section 12).
- Children. Child participants (ages 6–12) must be accompanied throughout the experience by a participating parent or guardian. Children who arrive without an accompanying adult cannot participate.
- Refusal of participation. The host or we may refuse or remove a participant, without refund, if the participant:
- engages in dangerous behavior or disrupts the activity;
- fails to meet the participation requirements stated on the product page (including age, health, or accompaniment requirements);
- appears to be under the influence of alcohol or drugs; or
- behaves abusively toward the host, staff, or other participants.
- Late arrival. If you arrive 15 or more minutes after the scheduled start time, you may be treated as a no-show and refused participation, as described in the Cancellation and Refund Policy.
11. Prohibited Conduct
You must not:
- use the Service for any unlawful purpose or in violation of these Terms;
- impersonate another person or misrepresent your identity, age, or eligibility (including Premium Experience eligibility);
- interfere with the operation of the Service, attempt to gain unauthorized access to our systems or other users' accounts, or probe or scan the Service for vulnerabilities;
- use bots, scrapers, or automated means to access the Service or make purchases;
- resell, transfer, or commercially exploit bookings, enrollments, or course content;
- harass, threaten, or discriminate against hosts, instructors, staff, or other participants; or
- infringe the intellectual property or other rights of LIVAPON, our hosts, or any third party.
We may suspend or terminate your access to the Service for material or repeated violations of this Section. If we terminate your access under this Section, amounts you have already paid for enrollments or bookings are not refunded, except where a refund is required by law or by the Cancellation and Refund Policy.
12. Our Liability
- We are liable to you for damage caused by our failure to perform our obligations or by our negligence, in accordance with applicable law.
- Except in cases of our intent (willful misconduct) or gross negligence, our liability to you is limited to direct and ordinary damages actually incurred (excluding lost profits and indirect, special, or consequential damages), and is capped at the total amount you paid to us for the product giving rise to the claim.
- Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, for our fraud, or for any other liability that cannot be excluded or limited under applicable law, including the Consumer Contract Act of Japan and the mandatory consumer protection laws of your country of residence.
- We are not responsible for failures or interruptions caused by events beyond our reasonable control, such as natural disasters, network or platform outages (including Shopify or YouTube), or government actions. We will take reasonable steps to mitigate the effect of such events. Where such an event prevents an experience from being held, the event-cancellation provisions of the Cancellation and Refund Policy apply.
- Except where caused by our intentional misconduct or gross negligence, we do not reimburse incidental costs you incur in connection with an experience or course, such as travel, accommodation, visas, or equipment, including when an event is canceled. Please consider travel insurance if you are planning a trip around an experience.
13. Changes to the Service and These Terms
- We may update the Service, our product lineup, and these Terms from time to time.
- If we make a material change to these Terms, we will notify you at least 14 days before the change takes effect, by email or by a notice on the Service, stating the effective date of the change. If you continue to use the Service after the effective date, the updated Terms apply to you. Changes do not retroactively reduce your rights under bookings or enrollments you have already paid for, except where a change is required to comply with applicable law.
- If you do not agree to a change, stop using the Service; your statutory rights and any rights under the Cancellation and Refund Policy remain available for existing purchases.
14. Assignment
You may not assign or transfer your rights or obligations under these Terms, your account, your enrollments, or your bookings to anyone else without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of business, provided your rights are not reduced.
15. General Provisions
- Severability. If any provision of these Terms is found invalid or unenforceable, that provision will be enforced to the maximum extent permitted, and the remaining provisions will remain in full force.
- Entire Agreement. These Terms, together with the Cancellation and Refund Policy and the Privacy Policy, are the entire agreement between you and us about the Service.
- No Waiver. If we do not enforce a provision of these Terms, that is not a waiver of our right to enforce it later.
- Survival. Sections 7 (Content License), 12 (Our Liability), and 16 (Governing Law and Disputes) survive the end of your enrollments, bookings, or use of the Service.
16. Governing Law and Disputes
- These Terms and any dispute arising out of them are governed by the laws of Japan.
- The Tokyo District Court has exclusive jurisdiction of first instance over disputes arising from these Terms or the Service.
- However, nothing in this Section deprives you of the protection of any mandatory consumer protection provisions of the law of the country where you reside, or of your right to bring or defend proceedings in your local courts where that right cannot be waived by agreement. If the mandatory law of your country of residence grants you rights that go beyond these Terms, those rights are not affected by the choice of Japanese law above.
17. Language
These Terms are drafted in English, and the English version is the authoritative text. Any translations are provided for convenience only; if there is a conflict, the English version prevails. Statutory disclosures required under Japanese law (including the disclosure under the Act on Specified Commercial Transactions) are published separately in Japanese.
